A leading international law firm is seeking an Associate to join its Edinburgh‑based Investment Funds team. The team advises a broad range of asset managers—from large institutions to emerging firms—and a variety of investor clients, including pension funds, insurers, and banks.

This role sits within the firm’s corporate division and offers exposure to a broad range of UK and international funds work. Working as part of a collaborative, globally connected team, the successful candidate will assist with fund structuring, fund formation, investor due diligence, regulatory matters, and wider corporate transactions in the asset management sector.

Key Responsibilities:

  • Draft and negotiate fund documentation, including limited partnership agreements, side letters, and related fund materials.
  • Prepare documentation for the establishment of new fund managers or advisers, including shareholder and LLP agreements.
  • Review fund materials for institutional investors and prepare clear, client‑focused due‑diligence reports.
  • Draft and negotiate investment management agreements, administration agreements, and other service provider contracts.
  • Contribute to capital markets work for listed funds, including IPOs, follow‑on fundraisings, and schemes of arrangement.
  • Develop specialist expertise across both transactional and advisory investment funds work.
  • Maintain and grow client relationships while supporting business development and thought leadership initiatives.
  • Collaborate with colleagues across the funds, regulatory and corporate teams to deliver high‑quality client service.

This role is well‑suited to a lawyer with approximately 2–5 years’ PQE, although applications from more senior candidates will be considered. Strong experience in private and/or listed funds work is essential, along with excellent drafting skills, commercial awareness, and the ability to work independently where appropriate.
